These Terms outline the rules governing the use of the development services provided by SJS International Holdings Private Limited (operating under the brand SJSMINDS).

1. Services Offered

We deliver custom Website Development, Mobile App Development, and custom business systems (ERP, CRM, HRMS, POS). Every engagement requires a detailed Statement of Work (SOW) defining features and milestones.

2. Payment Terms

Engagements operate under structured milestone payments (e.g., 30% advance, 40% design/midway approval, 30% pre-deployment). Development will only begin or resume once the relevant milestone invoice has been cleared.

3. Delivery Timelines

Project schedules represent estimates based on timely client feedback. SJSMINDS is not responsible for timeline slips resulting from delayed approvals, missing assets, or changes in requirements scope.

4. Client Responsibilities

The client must provide copywriting text, brand images, logo files, and server connection credentials inside the agreed timeline to ensure sprint continuity.

5. Revisions Policy

We provide multiple revisions in the UI/UX Design phase. Once the design layouts are signed off, any changes to structural elements or features will require a written Change Order.

6. Intellectual Property (IP)

Upon final payment settlement, the complete ownership rights of the custom code, custom designs, and database configurations will transition to the client. SJS International Holdings retains base generic libraries.

7. Limitation of Liability

Under no circumstances will SJSMINDS or SJS International Holdings Private Limited be liable for any indirect, consequential, or punitive losses, including lost revenues, resulting from code outages.

8. Governing Law

These Terms and engagement contracts are governed by the laws of India. Any legal disputes will be resolved under the jurisdiction of Bengaluru courts, Karnataka, India.
